End User License Agreement (EULA) – therappai

This EULA governs your use of the therappai mobile and web applications and related services (the “Application” and the “Services”) provided by [Therappai, Inc./Ltd.], a [jurisdiction] corporation (“therappai,” “we,” “us,” or “our”). By clicking “Accept/I agree”, creating an account, or using the Services, you agree to this EULA. If you do not agree, do not use the Services.
ARBITRATION & CLASS WAIVER (U.S. users): Section 17 requires binding, individual arbitration and waives class actions, subject to consumer law carve-outs. Read carefully.
1) Definitions

Application: The therappai iOS/Android apps and web app (including updates).

Content: All information available via the Services (text, graphics, video, avatars, session summaries, prompts, UI, software) and user-submitted content.

Feedback: Ideas, suggestions, reviews, or improvements you submit.
-
Services: AI-powered wellness tools, including live AI video therapy sessions, 24/7 chat, guided exercises (CBT/DBT/mindfulness), journaling, mood tracking, Crisis Buddy alerts, and related features.

Subscription Term: Your plan period (free or paid).
-
User / you: An individual using the Application/Services.
2) Nature of Services (Wellness, Not Healthcare)

therappai provides wellness support and educational tools. We are not a licensed healthcare provider and do not give medical advice, diagnosis, or treatment.

Interactions with AI avatars or chat are not a doctor-patient/therapist-client relationship.
-
Do not ignore professional advice or delay seeking it due to information from the Services.
3) Crisis & Safety
-
therappai is not suitable for emergencies. Use local emergency resources (see header).

Crisis Buddy Alerts: Optional feature letting you designate contacts to be notified if our systems detect potential crisis indicators (e.g., self-harm, relapse). You control who is notified and may revoke at any time. We do not guarantee detection or delivery of alerts.
4) Eligibility

You must be 18+ (or the age of majority in your location).

Users aged 13–17 may use the Services only with verifiable parental/guardian consent and where permitted by local law.

The Services are not directed to children under 13; do not register or use if under 13.
5) Account Registration & Security
-
Provide accurate, current information and keep credentials confidential.
-
You are responsible for activities under your account. Notify us immediately of suspected unauthorized use.

We may enable additional security measures (e.g., MFA) and may suspend accounts for suspected misuse.
6) User Consents & Communications
-
You consent to receive in-app notifications, email, and (if opted-in) SMS. Carrier/data charges may apply.

The Application requires certain device permissions (camera/mic for video, notifications, network). Disabling may limit functionality.

Do not use on rooted/jailbroken devices.
7) Privacy & Data Use
-
Use is also governed by our Privacy Policy (incorporated by reference).

We process personal data consistent with applicable laws (e.g., GDPR/UK GDPR, CCPA/CPRA).

Model improvement (opt-in): If you opt-in, your content (e.g., conversations) may be used to improve AI quality (training/grounding/RAG). You can withdraw consent at any time via in-app settings; withdrawal does not affect prior lawful processing.

We implement encryption in transit and at rest and employ reasonable administrative, technical, and physical safeguards. No system is 100% secure.
HIPAA: therappai is not a HIPAA-covered entity. If we later integrate with licensed providers, we will present additional terms/authorizations.
8) License & Ownership

Your license: Subject to this EULA, therappai grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Application/Services for personal, non-commercial purposes during your Subscription Term.

Our IP: We (and our licensors) own all rights in the Application, Services, software, Content, avatars, and branding. No rights are transferred except the limited license above.

Feedback: You grant therappai a perpetual, worldwide, royalty-free license to use Feedback without restriction.
9) User Content & Conduct

You retain rights to your content; you grant therappai a worldwide, non-exclusive, royalty-free, sublicensable license to host, process, display, analyze, and create session outputs/summaries to operate the Services (and, if opted-in, to improve them).

Prohibited uses include: illegal activity; exploiting or harming minors; harassment or hate; malware/viruses; reverse engineering; scraping or automated data extraction; circumventing security; infringing IP; falsely presenting the Services as “medical treatment.”

We may remove content or suspend accounts that violate this EULA or law.
10) Subscriptions, Trials, Billing & Taxes

Freemium: Free chat tier (features subject to change).

Premium plans: Monthly/annual options with free trial (see in-app details).
-
Payments are processed by Apple App Store/Google Play/Stripe or other authorized providers; their terms and refund policies apply.

You authorize recurring charges until canceled. Manage/cancel via your app-store account or in-app settings (as available).
-
Fees are exclusive of taxes; you are responsible for applicable taxes. Prices and features may change with notice as required by law.

Unless required by law or the platform’s policy, fees are non-refundable after the charge posts.
11) Availability; Changes; Third-Party Services

Features (including live AI video) require adequate device, OS, bandwidth, camera/microphone, and may vary by region.

We may modify, suspend, or discontinue any feature/Service (with refunds or credits where required by law for prepaid unused periods).

We may link or integrate with third-party services (analytics, payments, video). We are not responsible for third-party content or policies.
12) International Data Transfers

Where required, we use Standard Contractual Clauses (and UK addendum) or other lawful mechanisms for cross-border transfers. See Privacy Policy for details.
13) Disclaimers
-
The Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted operation, and error-free performance.

AI systems may produce inaccurate or inappropriate outputs (“hallucinations”). Do not rely on outputs without independent judgment.
-
We do not guarantee detection or prevention of crises or delivery of Crisis Buddy alerts.
Some jurisdictions do not allow certain disclaimers; in those places, the foregoing applies to the maximum extent allowed.
14) Limitation of Liability
To the maximum extent permitted by law:

therappai will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; data loss; loss of profits; or business interruption; and
-
therappai’s total aggregate liability for all claims in any 12-month period will not exceed the greater of (a) US$100 or (b) the amounts you paid to therappai in the three (3) months preceding the event giving rise to liability.
Consumer and local laws may grant additional rights; where they do, this clause applies to the maximum extent permitted.
15) Indemnification
You will defend, indemnify, and hold harmless therappai and its affiliates, directors, officers, employees, and contractors from claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (i) your misuse of the Services; (ii) your content; (iii) your violation of this EULA or law; or (iv) infringement of third-party rights caused by you.
16) App Store Terms (Apple/Google)

Apple iOS: This EULA is between you and therappai, not Apple. Apple is a third-party beneficiary and may enforce this EULA. therappai is solely responsible for the Application and support. For warranty issues, Apple may refund the purchase price (if any) but has no further obligations.

Google Play: This EULA is between you and therappai, not Google. Your use must comply with Google Play Terms of Service. Google has no responsibility for the Application beyond providing the store.
17) Governing Law; Dispute Resolution; Arbitration (U.S. users)

Governing Law: Unless prohibited by local law, this EULA is governed by the laws of the State of Delaware, USA, without regard to conflicts principles.

Binding Arbitration & Class Waiver (U.S. consumers): Any dispute arising out of or relating to this EULA or the Services will be resolved by binding, individual arbitration administered by JAMS under its applicable rules. No class actions or class arbitrations. Venue (if any court is needed) and arbitration seat: New York, NY, English language. Either party may seek injunctive relief in court for IP or unauthorized access.

EU/UK/Other Consumers: If mandatory local law grants you the right to bring actions in your home courts or use local dispute bodies, this section does not limit those rights and you may have access to ODR (EU) platforms.

Informal Resolution: Before filing, you agree to email [legal@therappai.com] with a description of the dispute and a 30-day cure period.
18) Consumer Rights (EU/UK/EEA, AU/NZ, CA)

EU/UK Right of Withdrawal: If you are a consumer, you may have 14 days to withdraw from a paid digital services contract. By starting the Services during the withdrawal period, you acknowledge digital performance has begun and you may owe a proportional amount. Instructions and a model form are in our Refunds & Cancellations page.

Australia/New Zealand: Nothing in this EULA excludes, restricts, or modifies any consumer guarantees, warranties, rights, or remedies conferred by the Australian Consumer Law or New Zealand Consumer Guarantees Act that cannot be excluded.

Canada/Quebec: To the extent required by provincial law, certain disclaimers/limitations may not apply.
19) Export Controls & Sanctions
You represent that you are not located in, under control of, or a national/resident of any country or party subject to U.S., UK, or EU embargo/sanctions. You will not use or export the Application in violation of applicable export control laws and sanctions regimes.
20) Changes to the Services or EULA
We may update the Services and this EULA. We will update the “Last Updated” date and, where required, provide notice (e.g., in-app/email) and obtain consent for material changes. Continued use after changes indicates acceptance.
21) Suspension & Termination
We may suspend or terminate access for violations, legal risk, non-payment, suspected fraud, or operational reasons. You may stop using and, where applicable, cancel your subscription at any time (see Section 10). Upon termination, your license ends and access ceases. We may retain data as permitted by law and our Privacy Policy.
22) Miscellaneous

Severability; No waiver: If any provision is unenforceable, the remainder remains in effect. A failure to enforce is not a waiver.

Assignment: You may not assign this EULA without our consent. We may assign in connection with a merger, acquisition, or sale of assets.

Entire Agreement: This EULA + Privacy Policy + in-app plan terms are the entire agreement.

No third-party beneficiaries (except Apple/Google as expressly stated).
